Administrator adding an option exercise request on behalf of a stakeholder`

Navigate to the Equity Grants Page

  • Log in to the admin portal.

  • Go to the Equity Grants page where all grants are listed.

Select the Grant

  • Locate the grant for the participant you wish to create an exercise request for.

  • Click the kebab menu (three dots) next to the relevant grant.

  • Select “Exercise” from the menu.

Open the Exercise Request Side Drawer

  • A side drawer titled “Add participant exercise request” will open.

  • You’ll see a descriptor explaining that this request will create a pending exercise record visible to the participant and will require admin approval.

Review Grant Details

  • The following grant fields will be displayed for your review:

    • Stakeholder name

    • Plan name

    • Grant ID

    • Grant date

    • Number of options granted

    • Grant price

    • Option type

Enter Exercise Details

  • In the shaded box, fill in the following:

    • Exercise date (when the exercise will occur)

    • Available for exercise (tooltip available for guidance)

    • Exercise request date (defaults to exercise date)

    • Number of options to exercise (input the quantity)

    • Exercise price (defaults to grant price, can be edited)

    • Exercise cost (auto-calculated)

    • Fair market value (FMV) (uses plan-linked FMV; can be edited)

    • Estimated tax withholding (auto-calculated for NSO options and US addresses; editable)

    • Estimated taxable gain (auto-calculated)

6. Attach Exercise Agreement (Optional)

  • You may upload a document (.pdf or .docx) in the Exercise agreement section.

  • This document will be available to the participant but will not require their acceptance or signature.

7. Submit the Request

  • Click “Submit” to create the exercise request.

  • The request will now appear as pending and will be visible on the Exercises & Releases page and to the participant in their portal.

  • The request will require approval by a company administrator on the Exercise & Releases page.
