When awarding an option grant, Administrators can now capture an 'Option Type ' value and whether this was reported to the regulator. This increases the accuracy of option data being captured on the platform and also assists with any regulatory reporting mandates.
On the Grant screen, click on the 'Grant ' button on the top right hand corner of the screen. On the create Grant window, when an options plan type is selected in the 'Plan Name' field, the 'Option Type' and 'Filed with regulator' fields become visible:
Option Type :
Enterprise Management Incentive (EMI) - A tax-advantaged share option scheme usually used by smaller companies provided they meet the qualifying criteria set out by HMRC (UK). These options allow a participant to acquire shares over a set period of time whereby any profit realised when exercised are typically not eligible for income tax.
Company Share Option Plans (CSOP) - A tax-advantaged share option scheme usually used by companies to grant options to selected executive directors or employee's, whereby any profit realised when exercised are typically not eligible for income tax
Incentive Stock Option (ISO) - A tax-advantaged share option scheme usually used by U.S. based companies, provided they meet the qualifying criteria set out under the Internal Revenue Code. Typically participants need to hold ISO's for a specific period of time before they can exercise the awards.
Non Qualified Stock Option (NQSO) - A share option scheme that does not qualify for favorable tax treatment, typically participants pay tax when exercised and any subsequent sale of those options.
Share Option (SO) - A vanilla option grant awarded to participants giving them the right to buy a share in the company at a future date, either at a discount or fixed price.
Other - Any other type of option grant that does not match the above
Note:
It is only possible to record an 'Option Type' for newly created option grants.
Existing option grants will have an 'Option Type' of 'Not Specified'
In a future update, we will enhance this functionality to allow companies to amend historically created option grants.
